1. Overview
The ProSide Partner Program allows users and approved B2B partners (such as golf courses and instructors) to earn commissions by referring new users to the ProSide iOS application. By participating in this program, you agree to these Terms and Conditions.
2. Earning Commissions
Tracking: A commission is triggered only when a new user enters your unique Partner Code during the checkout process and successfully purchases an Annual Subscription via Apple's App Store.
Commission Rate: Standard app users earn $10.00 per successful annual referral. Approved B2B partners earn their custom contracted rate.
The 35-Day Clearing Period: All earned commissions are initially marked as "Pending." Because Apple permits users to request refunds, we enforce a mandatory 35-day holding period from the date of purchase.
Refunds: If Apple issues a refund to the referred user at any point during the 35-day holding period, the pending commission will be voided.
3. Payouts and Withdrawals
Payout Methods: Cleared funds can be withdrawn via Venmo. Approved B2B partners may also elect to receive payouts via ACH bank transfer, physical check, or invoice.
Processing: Payout requests are processed manually by the ProSide team. Please allow 3 to 5 business days for funds to appear in your account.
Errors: You are solely responsible for providing accurate payout details (e.g., the correct Venmo handle or routing number). ProSide is not responsible for funds sent to an incorrect account due to user error.
4. Taxes and IRS Compliance
Independent Contractor Status: You participate in this program as an independent contractor, not an employee of ProSide.
The $600 Threshold: In compliance with United States IRS regulations, if your cleared payouts reach $600.00 or more in a single calendar year, your account withdrawals will be temporarily paused. You will be required to submit a valid W-9 form.
Tax Reporting: ProSide will issue a 1099-NEC tax form at the end of the year to any partner who earns $600 or more. You are solely responsible for reporting and paying any applicable local, state, or federal taxes on your earnings.
5. Restrictions and Prohibited Conduct
To maintain the integrity of the program, the following actions are strictly prohibited and will result in immediate account termination and forfeiture of all pending and cleared balances:
Self-Referrals: You may not use your own Partner Code to receive a discount on your own ProSide subscription.
Spam and Harassment: You may not spam your code in misleading ways, unsolicited emails, or irrelevant online forums.
Brand Bidding: You may not run paid search advertisements (e.g., Google Ads) bidding on the keyword "ProSide" or variations of our trademark.
Fraud: The use of bot networks, stolen credit cards, or coordinated refund schemes will be reported to Apple and relevant authorities.
6. Program Modification and Termination
ProSide reserves the right to modify, suspend, or terminate the Partner Program, or change the commission rates, at any time and for any reason. In the event of program termination, all legitimately cleared funds will be paid out to partners. Unclaimed balances on accounts that have been inactive for more than 12 months may be forfeited.
